Giraffe Application Inc. Affiliate Program Terms and Conditions

Welcome to the Giraffe Application Inc. Affiliate Program! By signing up to be an affiliate in the Giraffe Application Inc. Affiliate Program (“Program”), you agree to be bound by the following terms and conditions (“Terms”).
Please read these Terms carefully before applying. If you do not agree to these Terms, you may not participate in the Program.
1. Eligibility
1.1 You must be at least 18 years old to participate in the Program.
1.2 You must provide accurate, complete, and current information when applying to the Program.
1.3 Giraffe Application Inc. reserves the right to accept or reject your application at its sole discretion.
2. Affiliate Obligations
2.1 You will promote Giraffe Application Inc. products and services through legal, ethical, and responsible means.
2.2 You are prohibited from using spam, misleading advertising, or any other prohibited promotional methods.
2.3 Affiliates are responsible for ensuring their websites and promotional methods comply with all applicable laws and regulations, including GDPR, CAN-SPAM, and FTC guidelines.
3. Affiliate Promo Code and Tracking
3.1 Upon acceptance into the Program, you will be asked to create your own affiliate promo code to track your referrals.
3.2 All referrals must use your unique affiliate promo code to qualify for commissions.
3.3 You may not modify or mask the affiliate promo code.
4. Commission Structure
4.1 You will earn a commission for each qualifying purchase made through your affiliate promo code. The commission rate will be specified in your affiliate dashboard.
4.2 Commissions will be approved after verifying the purchase is valid and the customer has not requested a refund within the stipulated period.
4.3 Sales Commission:
- 4.3.1 Per Monthly Subscription sold: 30%
- 4.3.2 Per Yearly Subscription sold: 30%
4.4 Payments will be made bi-monthly via PayPal. A minimum threshold of $145 US (or equivalent in local currency) must be met for payment processing.
5. Prohibited Activities
Affiliates are prohibited from:
- Bidding on Giraffe Application Inc. trademarks or similar terms on search engines.
- Engaging in fraudulent, deceptive, or unethical behavior.
- Using unauthorized branding or misrepresenting affiliation with Giraffe Application Inc.
- Violation of these restrictions may result in immediate termination and forfeiture of commissions.
6. Relationship
6.1 The relationship between Giraffe Application Inc. and affiliates is solely that of independent contractors.
6.2 This Agreement does not create any partnership, joint venture, or agency relationship.
7. Termination
7.1 Either party may terminate participation in the Program at any time, with or without cause, by providing written notice.
7.2 Upon termination, you must immediately stop using the affiliate link and promotional materials provided by Giraffe Application Inc.
7.3 Unpaid commissions for valid referrals made before termination will be paid according to the standard payment schedule.
8. Limitation of Liability
Giraffe Application Inc. will not be liable for any indirect, special, or consequential damages arising in connection with this Agreement or the Program, even if advised of the possibility of such damages.
9. Amendments
Giraffe Application Inc. reserves the right to update or modify these Terms at any time. Changes will be notified via email or published on the Program website. Continued participation in the Program constitutes acceptance of the revised Terms.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Canada.
